Ubiquitous Whining - The Mighty Whine When They Don't Get What They Want, Just Like the Lowly
I have lamented the pusillanimous whining on BMM about poor ignorant franchisees getting fleeced by their betters on franchise deal after franchise deal.
Well, I now have to recognize that there are times when the high and mighty, accustomed to being able to “shave points” off the expectations of others with whom they deal, sometimes get caught in their own games and whine just as long and loudly as any poor bled dry franchisee.
Recently, one of our leading lights wheeler dealers here in the Houston area, whose reputation includes sometimes telling folks who have deals with him that he doesn’t feel like performing and that they can just lawyer up, got his anatomy in the wringer for cooking the books. Seems like he back dated stock options to improve their value to the optionees, and got ratted out for it by someone who thought him less than worthy of aiding and abetting.
Being publicly held, he had to delay filing his annual report pending restatement of his results to reflect remediation of his peccadilloes.
Seems there was a clause in his bond underwritings that required prompt filing of financial reports when due that was breached by the delay. The trustees for the bondholders gleefully declared a default and accelerated the loan balance in a rising interest rate market – shame on those opportunistic sumbitches!
He, of course, not wanting anyone to be able to invoke provisions of agreements willingly signed upon advice of very experienced counsel of his choosing, filed suit against the trustees, claiming that they are unfairly blackmailing his company for the evil purpose of raising the interest expense on the remaining debt as consideration for waiving the default. He wanted them enjoined from calling in the debt while he tried to find other lenders, if they couldn’t indeed be forced to forego their obviously very valuable right to accelerate.
Being impaled upon his own pole/hoisted by his own petard, he now has to pay much more for his lapse, thanks in part to a damn good federal judge who can read.
That doesn’t stop his PR flack from proselytizing all and sundry to have sympathy for his having been caught cooking the books. After all, he notes, this is Houston where everyone’s books are redolent of herbs, garlic and larceny. The I aint Enron defense didn’t work. But you’d think he had bought a Coffee Beanery Café franchise from the sound of it all.

Whining is good for the soul. It makes you live long and calls our attention to problems. Tonight was whiner Andy Rooney's last night on CBS' 60 minutes. Here's one of the 92-year old's beloved whines about modern art.
There are few things more American than whining when things simply aren't good enough, or we don't like it. I don't think Andy would like the thought of shutting up and giving a check to an attorney to fix the problem, not when he can whine about it.

I strongly believe many of the zees telling their stories are simply telling it as it is. If you want to call it whining, so what. If it is the truth than speak up. Nothing will change unless people tell their experiences with doing business with less than honorable zors. The guest who are most likely area reps, and people who have an agenda in rogue franchising will call you names, put you down and try to discredit you. So what. I have one agenda and that is to make people aware of snakes who will lie, steal and rob you of the good life you have earned.

Then last night I watched 60 Minutes [Australia] where a report indicates that overly happy people avoid negative information but are then more prone to taking risks. This could be a break through in the search to identify the ultimate franchise prospect trigger but also explain the downturn in franchise growth.

Ray, I think that you have overstated our case somewhat. Fuwa and I were trying to explain how otherwise reasonable people fail to take even the most basic steps in pre-sale due investigation. Well I am not backing down. Since getting interested n franchising as opposed to small business ownership I have been roughly interviewing active franchisees(i.e their doors are still open) and contrasting their views and commentary with that of small business owners. That is how I formed my hypothesis and I stand by it as one of many potential models that explains franchisee behavior.
I still contend that many franchisees are drawn to franchising because they are innately fearful of having people perceive them as failures so they try to mitigate the risk to their own ego by insulating themselves from the public perception of responsibility by selecting franchising as a business model. This works on a host of levels as it allows them to bolster themselves at first as a risk taker and small business owner and if successful they will attribute all the success to their own initiative and view the zor as a parasite who feeds to that which they have built. But when failure occurs the zor and the system is the source of their failure.
We have seen this even in this forum. The walking wounded repeatedly creating conspiracy theories that are out of balance with the reality of the world around them.
Solomon has offered a far more plausible explanation many times that does not involve black helicopters, the Loch Ness monster, and the Tri-Lateral commission when he recounts the evolution of the FDD and the FA. He also has given the most sage advice relevant at this point in time in his post labeled “Rarely? How about never? The FDD doesn't even give the” and posted on 2011-09-30 at 08:53.
And while Solomon offers a explanation for what many ex-zees see as a labyrinth of conspiracies that apparently take place in the nether world of Thoth-Amon I offer a simple explanation as to why a percentage of zees wander down the path to a personal financial armageddon of their own making.

Yes, it would be possible but in general I have no desire to do so. In so doing I would be singling out posters and that would be perceived as an attack and led to more hurt feelings and then their supporters would come out of the wood work and we would have another round of a pity party. In general we are dealing with people who are no longer logical as the are blinded by their emotions to the greater realities. My opinon is many in this forum are co-enablers of the delusions that are simply manifestations ot the injured psyche of many posters.

Those who have been abused by their franchisor carry emtional baggage akin to a battered wife. They offer nothing of substance to these forums. They should be helped through a 12 step franchise recovery program to help them understand the character defects that contributed to their failures. In the course of their recovery they should seek out a successful franchisee sponsor before they can be allowed to post on BMM.

Hmmmm...now there is an idea. A franchise offering for that offers counseling to psychologically damaged ex-franchisees. Let’s see. If we lobbied enough I bet we could get Obama to mandate the coverage as part of everyone’s health care. Just look at how long some of these people have been bitching an moaning. Heck treating them would be close to a perpetuity. Hmmmm…not bad.

There was a time when OldSword's SBA loans rant was considered a delusional conspiracy theory. I really just wanted to make sure that one had been scratched off the list. We must be diligent so as not to confuse the commoners.

It does not alter the fact that OldSword was a knowing member of the conspiracy. He falsified his own projections to defraud the SBA. Oldsword is right there is a conspiracy and he was part of it. They should all go to jail, the zor, OldSword, the bankers, the SBA auditor, the consultant.

Just because you say something often enough doesn't mean it is the truth. Been dealing with these people for over 3 years, laid everything out to them from the beginning, they have all my information, have been on conference calls, face to face meetings - you name it. And in all that time they found. . .that I and my fellow franchisees were indeed defrauded and fraudulently induced to use the proformas presented.
If they were going to come after us they would have done so 3 years ago. So, please use facts - it will increase your credibility.
However, if I am going to admonish you for what is wrong in your statements I should at the very least applaud you for naming the others who have been proven to be part of a serious problem (although I am not sure the SBA auditor should be jailed) and it appears some of you have finally come around to the issues I have raised over the years. For that, thank you.

OldWad was never delusional about the facts. I learnt a great
deal of what I know about the liar loan business from my conversations with him over the last few years. I got involved with him because I was then representing another HLS franchisee who turned out to have a good legal malpractice case because her Super Lawyer blew the limitations period and failed to assert her claims before it ran out. Her case within a case is good and her Super Lawyer has malpractice insurance, so all is right in this most perfect world. The Super Lawyer is now coming unglued and having rant sessions at depositions, as the depositions are not going his way. Dontcha just love those Super Lawyers?
But the point is, I sincerely believe, that this particular conspiracy to defraud is lost in the cloud of smoke surrounding everything having to do with American finance these days. Everything from now until December 2012 is just going to be sound bites. There will be no enforcement associated with liar loans in franchising. No politically tuned agency is going to go after anyone who might be persuaded to become a donor to election campaigns in exchange for not being gone after. The more felonious behavior they uncover, the more they can use the information to extract political cash for the coming campaigns.

This one statement is putting the statistics of franchising into a catergory that is simply not true. There are very smooth people out there. Our salesperson flat out admitted that everything was premeditated. I did alot of research and the people who were taken all were misrepresented. How do you want us to be? Whenever we do business tell them you are flat out lying. Prove to us you are not misrepresenting us. If this is how it is, no one will do anything. Then I would have to have an attitude that YOU are writing this way for the benefit of rogue franchising. If I went around with this attitude I would be completely full of fear, and fear cripples people. There needs to be regulations. If there is ANY misrepresentations the contract is null and void. The franchise fee has to be paid back, and the zee needs to be made whole again. No one should have the liberty to misrepresent ANYONE in business.

I do believe that the loan companies are responsible for many people loosing their homes. The loan companies told many in the the real estate industry they were good loans. I told my clients to refinace in two years or less, to a fixed loan. I had already done that with one of my rentals.

Barbara I doubt you understand much.
As typified by you, you are wrong once again. True, I am on the Board of Directors of a small thrift savings bank and I sit on the loan committee. What you fail to understand (even though Tex explained it) is since we hold the loans we originate in our own portfolio any non-performing loan is directly counted against our equity capital. To put it in simple terms, if I make a bad loan the money come out of our own pocket and if we make too many bad loans we are taken over and lose everything we put into the bank. Therefore it would be asinine for us to take part in what is termed a liar loan or anything that was predicated upon anything other than solid business practices.

Well the picketing in Wall Street hit Seattle, and will be going to WA. DC. "I am the 99%." are pissed that the very wealthy can lobby and get laws, like the IFA, to keep franchising as is. This is a mistake - for both Barbara and Fuwa. Barbara has, in a number of previous posts, demonstrated a greater insight into how she and her husband were taken. It is worth reflecting upon her words.
Fuwa, despite his simplistic insistence on one word social psychological explanations, does know a great deal about the fitness club industry. And Barbara would be better off figuring out what Fuwa knows, and why she and her husband didn't know that they didn't know what Fuwa knows.
(Fuwa should also stop pretending that as a cat he is the symbol of maleness. Despite his oriental nickname, I am pretty sure that most any Canadian could stomp on any little kitty - well, assuming that the aforesaid Canadian would get off his Tim Horton's butt to do so.)

I want out because everyone is plain mean. I want to forget my horrible experience in franchising. I no longer want to write on BMM. I will be gone as soon as I can delete me from this horrible site. I am moving and I want to forget everything. It is obvious that Kevin never was sincere. I do not want anyone to be hurt. Yet I allowed myself to get hurt by Kevin. He did not realize how I valued his friendship. I want Don to never include me. I want to forget how horrible people can be. I am sure alot of people will be glad I will not write. I believe people are really starting to get angry.
If you look at history it just repeats itself. I believe the, "I am the 99%," is only the beginning. The anger in the majority has to reach full throttle before there is alot more action. The people are not believing their being represented at all. Many people simply do not vote because they do not see anyone they think will do the job that is necessary to do what is right.
Our country is in the hole. I can understand the hard decisions that our leaders have to deal with. We need to make cuts. Where do we start? If we make cuts in one area, how many people will be affected? A good leader always put's the people first. A bad leader is about power. I do not envy anyone who becomes President. If you do you are damned. If you don't you are damned. I know one thing you cannot keep living on credit. The end result is failure.
